This notice covers our own use of personal information as a controller. Where we process personal information contained in a customer's procurement data solely on that customer's instructions, the customer is normally the controller and we act as its processor under a separate contract and data processing agreement.

We do not currently use personal information to make decisions about individuals based solely on automated processing that produce legal or similarly significant effects.
5 Procurement data and artificial intelligence
Customers may provide exported contracts, supplier records, spend files, renewal trackers or other procurement information. Those materials may incidentally contain personal information, such as business contact details or names in contracts.
For demonstrations and pilots:
- the organisation providing the material must have authority to share it with us;
- only information reasonably required for the agreed purpose should be supplied;
- we will use the material only for the agreed demonstration, pilot or service and in accordance with the applicable contract;
- outputs are intended to support professional procurement review and human decision-making, not to make decisions about individuals; and
- retention, deletion, security, approved subprocessors and any international transfers should be addressed in the relevant customer agreement and data processing agreement.
We do not use customer procurement material to train models for use across different customers or to train publicly available artificial intelligence models. Providers processing customer material on our behalf may use it only to deliver the relevant service to us, subject to their contractual terms and our customer agreements.
6 Who we share personal information with
We may share personal information with carefully selected recipients where necessary, including:
- website hosting, cloud infrastructure and security providers;
- email, scheduling, customer relationship management and communications providers;
- analytics providers, but only where enabled in accordance with our cookie controls;
- professional advisers, insurers, auditors and prospective investors under appropriate duties of confidentiality;
- regulators, courts, law enforcement bodies or other authorities where required by law; and
- a buyer, investor or successor if we undergo a genuine business sale, financing, reorganisation or transfer, subject to appropriate confidentiality and data protection arrangements.
We require service providers acting on our behalf to protect personal information and use it only for the services they provide to us.
Where required for a customer engagement, we will provide further information about material subprocessors through the applicable customer agreement, data processing agreement or subprocessor notice.
7 International transfers
Some service providers may process personal information outside the United Kingdom. Where this happens, we will use a lawful transfer mechanism and appropriate safeguards, such as UK adequacy regulations or the UK International Data Transfer Agreement or Addendum, together with any supplementary measures that are appropriate.
You may contact us for further information about the safeguards relevant to your personal information.
8 How long we keep personal information
We keep personal information only for as long as reasonably necessary for the purpose for which it was collected, including legal, regulatory, accounting, security and dispute-resolution requirements. Our intended starting periods are:
- general enquiries and demo records: up to 24 months after the last meaningful interaction;
- business relationship and contractual records: up to 6 years after the relationship ends, unless a longer period is required;
- direct marketing records: until you opt out or we determine that the information is no longer accurate or relevant; we may retain a minimal suppression record so that we respect an opt-out;
- security and access logs: normally up to 12 months, unless required for an investigation or legal claim;
- demo recordings: only with the participants' knowledge and normally for up to 90 days; and
- customer procurement data: as stated in the applicable customer agreement, data processing agreement or documented customer instruction.
We may retain anonymised information that no longer identifies any individual.
9 Security
We use appropriate technical and organisational measures designed to protect personal information against unauthorised access, alteration, disclosure, loss or destruction. Access is limited according to business need. No system is completely secure, and you should use an agreed secure method rather than ordinary email when sending confidential procurement material.
10 Your rights
Depending on the circumstances, you may have the right to:
- ask for access to your personal information;
- ask us to correct inaccurate or incomplete information;
- ask us to erase personal information;
- ask us to restrict how we use personal information;
- object to processing based on legitimate interests, including direct marketing;
- receive certain information in a portable format; and
- withdraw consent at any time where processing is based on consent.
These rights are not absolute and exemptions may apply. We may need information to verify your identity before acting on a request.
You have an absolute right to object to the use of your personal information for direct marketing. Contact leighton@https://www.nitaai.co.uk or use the unsubscribe option in a marketing email.
11 Complaints
Please contact us first so that we can try to resolve your concern. You also have the right to complain to the Information Commissioner's Office, the UK supervisory authority. Its current contact details are available at ico.org.uk.
12 Links to other websites
Our website may link to third-party websites. Those organisations control their own use of personal information, and their privacy notices apply. We are not responsible for their privacy practices.
13 Changes to this notice
We may update this notice when our website, product, suppliers or legal obligations change. We will publish the updated version on this page and change the date at the top. If a change materially affects how we use personal information, we will take reasonable steps to bring it to the attention of affected individuals.
